1. Introduction and Legal Agreement

Welcome to Yawmik, a unified digital platform designed to connect, execute, and manage everyday digital activities for individuals, professionals, and businesses globally. These Terms of Service govern your access to and use of all Yawmik products, services, applications, APIs, and ecosystem platforms including affiliated systems such as Arqify and future modules under Yawmik Ltd.

By accessing, registering, subscribing to, or using any Yawmik service, you, as the user, agree to be legally bound by these Terms. If you do not agree, you must not use the platform.

This agreement is intended to operate as a legally binding agreement enforceable under applicable international digital service and commercial laws.

2. Company Information

Legal Entity: Yawmik Ltd. Platform: Yawmik ecosystem across web, desktop, mobile, and cloud services. Primary Role: parent platform for integrated digital tools, execution systems, and business infrastructure including Arqify services.

Yawmik Ltd. operates as the official service provider and system owner of the core technologies, architecture, and platform infrastructure used across the ecosystem.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, have legal authority to enter a binding agreement, provide accurate and truthful registration information, and use the platform in compliance with applicable laws.

Businesses, store owners, and organizations may create accounts through authorized representatives acting on behalf of the relevant entity.

4. Scope of Services

Yawmik provides a scalable digital ecosystem that may include workspace and execution tools, business management systems including Arqify modules, communication and collaboration features, data storage and synchronization infrastructure, cloud and offline-first applications, AI-assisted and automation-based tools, and subscription-based premium features.

Services may evolve, expand, or update over time without prior structural limitation as part of long-term platform development.

5. Account Registration and Responsibilities

Users must create a secure account using valid credentials. You are responsible for maintaining password confidentiality, all activities under your account, and keeping profile and business details accurate and current.

Yawmik implements enterprise-level security, but users must not share login credentials, must notify us immediately of unauthorized access, and should use secure devices and networks.

Yawmik is not liable for losses caused by user negligence in account protection.

6. Payment Terms

Yawmik supports secure payments through certified third-party processors including Stripe for international cards and subscriptions, SSLCommerz for Bangladesh payments, and future globally compliant payment gateways. Financial transactions are processed through PCI-DSS compliant encrypted systems.

Users may access free tier services, monthly subscription plans, annual subscription plans, and usage-based or premium feature billing. Subscription fees are billed in advance and are non-transferable.

Users are responsible for applicable taxes, including VAT, GST, local tax laws, currency conversion fees, and gateway transaction fees where applicable.

7. Refund Policy

Unless otherwise specified, digital subscriptions are generally non-refundable once activated. Refunds may be issued only in cases of technical failure, duplicate charges, or legal compliance requirements.

Refund decisions are reviewed case by case, and payment gateway processing fees may be non-refundable depending on processor rules.

For verified billing disputes, users should contact support within seven to fourteen days of the transaction date.

8. Acceptable Use Policy

Users agree not to use the platform for illegal activities, upload malicious code, spam, or harmful content, attempt unauthorized system access or reverse engineering, abuse APIs, servers, or infrastructure, violate intellectual property rights, or use automation to exploit platform services.

Violation of acceptable use restrictions may result in suspension, termination, or legal action.

9. Intellectual Property Rights

All platform components including software architecture, UI and UX systems, logos, trademarks, branding, platform modules including the Arqify ecosystem, AI systems, and proprietary tools are the exclusive intellectual property of Yawmik Ltd. and are protected under international copyright, trademark, and technology laws.

Users are granted a limited, non-exclusive, non-transferable license to use the platform for lawful purposes only. Unauthorized copying, cloning, scraping, or reproduction is strictly prohibited.

10. Data Ownership and User Content

Users retain ownership of their business data, store records, uploaded files, and content. However, by using Yawmik, you grant us a limited license to store, process, sync, and display that data solely for service functionality and platform improvement.

Yawmik may also use anonymized or aggregated data for system optimization, AI improvements, security monitoring, and performance analytics.

11. Service Availability and Modifications

Yawmik strives for high availability but does not guarantee uninterrupted service. We reserve the right to modify features, update infrastructure, perform maintenance, and discontinue or replace services without prior notice when necessary for security, scalability, or operational integrity.

12. Third-Party Services and Integrations

Yawmik integrates with trusted external providers including payment gateways such as Stripe and SSLCommerz, cloud hosting providers, API infrastructure services, and security and analytics platforms.

We are not liable for disruptions caused by third-party service outages, processor decisions, or policy changes imposed by those providers.

13. Limitation of Liability

To the maximum extent permitted by law, Yawmik Ltd. shall not be liable for indirect or consequential damages, loss of profits or business interruption, data loss due to external cyber incidents, third-party service failures, or unauthorized account access resulting from user negligence.

Where liability applies and cannot be excluded, total liability shall not exceed the amount paid by the user within the last billing cycle.

14. Indemnification

You agree to indemnify and hold harmless Yawmik Ltd., its founders, affiliates, employees, and partners from claims, damages, legal disputes, or liabilities arising from misuse of the platform, violation of laws, breach of these Terms, or unauthorized business or financial activities.

15. Termination and Suspension

Yawmik reserves the right to suspend or terminate accounts where terms are violated, fraudulent activity is detected, legal compliance requires action, payment disputes or abuse occur, or platform security is threatened.

Users may terminate their account through official account settings or support requests, subject to retention, compliance, and billing obligations that survive closure.

16. Compliance with Global Regulations

These Terms are designed to align with international SaaS legal standards, PCI-DSS payment compliance, Stripe and global payment gateway requirements, data protection and consumer protection frameworks, and cross-border digital service laws.

17. Force Majeure

Yawmik shall not be held liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, cybersecurity attacks, government restrictions, infrastructure failures, and global network outages.

18. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the applicable laws of the registered jurisdiction of Yawmik Ltd., together with international digital commerce principles where relevant.

Any disputes shall be resolved through lawful arbitration or competent courts as permitted under the company’s registered legal jurisdiction and applicable law.

19. Updates to Terms

We reserve the right to update or revise these Terms at any time to reflect legal requirements, platform evolution, payment system updates, and ecosystem expansion including Arqify and future modules.

Continued use of the platform after updates take effect constitutes acceptance of the revised Terms.

21. Copyright and Platform Protection

Yawmik, Arqify, and all associated systems, technologies, platform structures, and ecosystem modules are proprietary intellectual assets of Yawmik Ltd.

Any unauthorized replication, reverse engineering, redistribution, or commercial misuse of the platform, documentation, or infrastructure is strictly prohibited and may be subject to legal enforcement under applicable intellectual property and digital service laws.
